Sera Peptides Affiliate Program Agreement

Version 3.0, effective September 16, 2026

This Affiliate Program Agreement ("Agreement") is between Sera Peptides Holdings LLC ("Sera," "we," "us") and the person or entity submitting an affiliate application ("Affiliate," "you"). You accept this Agreement by checking the acceptance boxes, typing your full legal name as your electronic signature, and submitting your application. The Agreement becomes effective when Sera approves your application.

1. Eligibility

1.1 You must be at least 18 years old and legally able to enter a binding contract.

1.2 You must give accurate and complete information in your application and keep it up to date, including your payout details.

1.3 Sera may approve or decline any application at its sole discretion and is not required to give a reason.

1.4 You may hold only one affiliate account.

2. Research-use-only products

2.1 All Sera products are sold strictly for laboratory research use only. They are not drugs, dietary supplements, foods or cosmetics; they have not been approved by the U.S. Food and Drug Administration; and they are not intended for human or veterinary use or to diagnose, treat, cure, mitigate or prevent any disease.

2.2 You must not state, suggest or imply, in any content, caption, comment, direct message, livestream, community post or conversation connected with Sera, Sera products or your code, that any product may be used by or given to humans or animals.

2.3 Without limiting Section 2.2, you must not: (a) give or reference dosing, dosages, injection, administration, reconstitution for use, "stacks," "protocols" or "cycles"; (b) make any claim about weight loss, fat loss, appetite, muscle growth, recovery, healing, injury repair, tanning, sexual function, cognition, focus, sleep, longevity, anti-aging, or the treatment of any condition; (c) share personal use experiences or testimonials of use; (d) use medical, clinical or pharmaceutical framing, including comparisons to prescription medications; (e) describe any product as safe, effective or approved for any use; (f) give medical advice or answer questions about personal use, other than to state that Sera products are for research use only; or (g) show or pair Sera products with syringes, needles or other administration supplies.

2.4 You may describe products as research-use-only compounds, refer to Sera's published certificates of analysis and third-party testing, and discuss ordering, packaging, shipping and customer service.

2.5 Sera may terminate this Agreement if, in Sera's reasonable judgment, any channel you operate promotes human use of research peptides or similar compounds, even where Sera is not mentioned.

2.6 Any violation of this Section 2 is a material breach and grounds for immediate termination and forfeiture of all unpaid commission and unclaimed rewards.

3. Discount codes

3.1 When approved, you will receive a personal discount code. The code gives customers the percentage discount of your assigned tier on eligible orders at serapeptides.com.

3.2 Codes cannot be combined with other offers unless Sera allows it. Sera decides which products and orders are eligible and may change eligibility at any time.

3.3 Your code is personal and non-transferable. Sera may deactivate, change or reissue your code at any time, including if it appears somewhere this Agreement does not permit.

4. Tiers, commission and free vials

4.1 The program has three tiers:

4.2 A "Qualifying Order" is a paid order placed on serapeptides.com using your code that is not cancelled, refunded, charged back or fraudulent, and is not placed by you, a member of your household, or anyone acting on your behalf. Orders are counted in the calendar month in which they are placed, using Pacific Time.

4.3 Commission. You earn your tier's commission percentage on each Qualifying Order, calculated on the order amount after your code's discount and excluding shipping, taxes and fees. The rate is set by the tier you hold when the order is placed.

4.4 Free vials. Instead of taking commission, you may claim free peptide vials once you have at least your tier's number of unpaid Qualifying Orders placed in the current calendar month. A claim gives you the number of vials shown for your tier, no matter how many unpaid orders you have, and you may make one claim per calendar month. Claims must be submitted through your affiliate dashboard before 11:59 p.m. Pacific Time on the last day of that month.

4.5 Each order is redeemed once. Every Qualifying Order can be paid out as commission or used toward a vial claim, but not both. A payout request includes all of your unpaid Qualifying Orders at the time of the request. A vial claim uses all of your unpaid Qualifying Orders placed in that month at the time of the claim, and no commission is paid on those orders. Orders placed after a claim earn commission as usual.

4.6 Each free vial is one vial of any in-stock peptide of your choice in its lowest listed size. Bacteriostatic water, supplies and accessories are excluded. If a selection is unavailable, Sera will offer an alternative. Sera ships vial rewards to a United States address at no charge.

4.7 Vial rewards have no cash value; cannot be exchanged for cash, credit or other products; cannot be transferred, sold or resold; and are subject to the same research-use-only terms as any Sera purchase.

4.8 Sera's order records determine Qualifying Orders, commission and rewards. If you believe there is an error, tell Sera within 30 days after the month ends and Sera will review it in good faith.

4.9 Sera may disqualify orders that appear designed to manipulate the program, including split orders, fake or duplicate customer accounts, and orders placed through coordinated schemes.

5. Payouts and store credit

5.1 Payout methods. You choose how commission is paid in your affiliate dashboard: bank transfer (ACH) to a U.S. bank account, Zelle, or Sera store credit. You may change your method at any time. A change applies to payouts requested after it.

5.2 Cash payouts. You may request a bank transfer or Zelle payout once your unpaid commission balance is at least $25. Balances under $25 roll over. Requests submitted from the 1st through the 15th of a month are paid by the 20th of that month. Requests submitted from the 16th through the end of a month are paid by the 5th of the following month. Any unpaid balance of $25 or more that you have not requested is paid by your chosen cash method by the 5th of the following month.

5.3 Before your first cash payout, you must provide a completed IRS Form W-9 and your payout details. For Zelle, that is the email address or U.S. phone number your Zelle account is registered to. For bank transfer, you will share your account details directly with Sera using a secure method Sera provides; Sera does not collect bank account numbers through its website. Sera may hold cash payouts until these are received.

5.4 Store credit. You may convert any unpaid commission balance, in any amount, to store credit at any time. Store credit is added to a personal credit code shown in your dashboard, in an amount at least equal to the commission converted. It may be used on products at serapeptides.com with your affiliate email as the billing email, does not apply to shipping, and any unused amount remains on the code. Store credit has no cash value; cannot be converted back to commission or cash; and cannot be transferred, sold or shared. If store credit is your chosen method, any unpaid balance at the end of a month is converted to store credit automatically.

5.5 If a Qualifying Order is refunded, cancelled or charged back after its commission is paid or converted to store credit, Sera will deduct that commission from your future commission balance. If the order was used for a vial claim, Sera may deduct a reasonable amount from your future balance or decline a future claim. If an order you paid for with store credit is cancelled or refunded, the credit used is returned to your credit code.

5.6 Sera is not responsible for payments sent using incorrect payout details you provided, or for fees your bank or Zelle provider charges you. If a chosen method becomes unavailable, Sera may pay by another reasonable method.

5.7 Sera may withhold any payout or store credit while it reviews a suspected breach of this Agreement or suspicious order activity, and will complete its review in a reasonable time.

6. Tier assignment

6.1 Sera assigns your tier at approval based on factors including your audience, reach and content quality.

6.2 Sera may raise or lower your tier at any time based on performance and compliance and will notify you by email. A tier change updates your code's customer discount and your commission rate for orders placed after the change, and sets the vial goal for claims made after the change.

7. Promotion rules

7.1 You must clearly disclose your relationship with Sera every time you share your code or link, in line with the Federal Trade Commission's Endorsement Guides. Examples include "#ad," "affiliate code," or "I earn commission from Sera." The disclosure must be easy to notice and placed with the promotion itself, not hidden behind a link or a "more" button.

7.2 You must follow the terms and community rules of every platform you use.

7.3 You must not: (a) post your code on coupon, deal, cash-back or code-sharing websites or apps; (b) run paid advertising of any kind featuring Sera, Sera products or your code, or bid on search terms that include "Sera" or similar terms; (c) send unsolicited bulk email, text messages or direct messages; (d) create websites, domains or social accounts that include "Sera" or could be confused with Sera; (e) impersonate Sera or suggest you are an employee or official representative; (f) make false or misleading statements about Sera, its products, pricing, testing or competitors; (g) use your own code or arrange orders to earn commission or reach a goal artificially; or (h) direct any promotion to people under 21.

7.4 You must remove or edit any content within 48 hours after Sera asks you to.

7.5 Sera may review your content at any time, and you agree to give Sera links to your Sera-related content on request.

8. Brand use

8.1 Sera grants you a limited, revocable, non-exclusive, non-transferable license to use Sera's name, logo, and the product images and materials Sera provides, only to promote Sera under this Agreement and without alteration. This license ends when this Agreement ends.

8.2 You grant Sera permission to reshare content you publish about Sera that complies with this Agreement, with credit to you where practical.

9. Independent relationship and taxes

9.1 You are an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, franchise or agency relationship, and you have no authority to bind Sera.

9.2 You are solely responsible for all taxes on commission, store credit, and the value of any free products you receive. Sera may issue tax forms, such as Form 1099, where required by law, and may withhold payouts as required by law if you do not provide a valid W-9.

10. Confidentiality and privacy

10.1 You must keep confidential any non-public information Sera shares with you, including unreleased products, pricing, supplier information and program data, during and after this Agreement.

10.2 If you collect any personal information from your audience in connection with Sera, you must comply with applicable privacy, email and text messaging laws, including CAN-SPAM and the Telephone Consumer Protection Act, and you must not collect health information.

10.3 Your affiliate dashboard shows order dates, order numbers and amounts. It does not show customer identities, and you must not try to identify customers from that information.

11. Term and termination

11.1 This Agreement continues until ended by either party. Either party may end it at any time by email notice.

11.2 Sera may end this Agreement immediately, without notice, if you breach it.

11.3 When this Agreement ends, your code will be deactivated, you must stop using Sera's brand materials, and you must remove your code and affiliate links from your content within 7 days. No commission is earned on orders placed after your code is deactivated.

11.4 If you end this Agreement, or Sera ends it for a reason other than your breach, Sera will pay your remaining commission balance, even if under $25, by your chosen payout method within 45 days, provided the details and W-9 required for a cash method are on file. Store credit already issued remains usable for 12 months after this Agreement ends. Vial claims already submitted will be honored. If Sera ends this Agreement because of your breach, all unpaid commission, unused store credit and unshipped rewards are forfeited.

11.5 Sections 2.6, 4.7, 5.4, 5.5, 5.6, 8.2, 9, 10, 11.3, 11.4, 12, 13, 15 and 16 survive the end of this Agreement.

12. Indemnification

You agree to defend, indemnify and hold harmless Sera and its members, managers, employees and agents from all claims, damages, fines, penalties, losses and costs, including reasonable attorneys' fees, arising from your content or promotion, your breach of this Agreement, or your violation of any law or third-party right.

13. Disclaimers and limitation of liability

13.1 The program is provided "as is." Sera does not guarantee any number of orders, any amount of commission, or uninterrupted availability of the program, codes, dashboard or website.

13.2 To the fullest extent permitted by law, Sera is not liable for any indirect, incidental, special, consequential or punitive damages, and Sera's total liability under this Agreement will not exceed the commission paid or payable to you, plus the retail value of rewards earned, in the three months before the claim arose.

14. Changes to the program or this Agreement

14.1 Sera may change the program, tiers, commission rates, payout schedule, rewards or this Agreement by emailing you at least 15 days before the change takes effect. Changes required by law or made to address a compliance or payment-provider risk may take effect immediately. Changes to commission rates do not apply to orders placed before the change.

14.2 If you keep participating after a change takes effect, you accept the change. If you do not accept it, you may end this Agreement under Section 11.1.

14.3 Sera may end the program entirely with 15 days' email notice. Earned commission will be paid under Section 11.4.

15. Governing law and disputes

15.1 This Agreement is governed by the laws of the State of California, without regard to its conflict-of-law rules.

15.2 Before starting any legal proceeding, the parties will try in good faith to resolve the dispute by email for at least 30 days.

15.3 Any legal proceeding arising from this Agreement must be brought exclusively in the state or federal courts located in San Diego County, California, and both parties consent to the jurisdiction of those courts.

16. General terms

16.1 This Agreement, together with Sera's website Terms and Conditions and Privacy Policy, is the entire agreement about the affiliate program. If they conflict about the program, this Agreement controls.

16.2 If any part of this Agreement is found unenforceable, the rest remains in effect. Sera's failure to enforce any term is not a waiver of it.

16.3 You may not assign this Agreement. Sera may assign it, including to a successor business.

16.4 Notices to Sera must be sent to contact@serapeptides.com. Notices to you will be sent to the email address in your application.

16.5 You agree that checking the acceptance boxes and typing your full legal name is your electronic signature and has the same effect as a handwritten signature under the federal E-SIGN Act and the California Uniform Electronic Transactions Act. Sera records the date, time, IP address and agreement version when you apply.
